The services, content, data, calculations, simulations, and materials provided on the BitLease platform, website, mobile application, APIs, and all related communications (collectively, the “Platform”) are provided for informational and operational purposes only.

This document exists to be completely transparent about what BitLease does and does not do. Every decision you make on this Platform is yours.

Nothing on the Platform constitutes, is intended to constitute, or should be construed as:

  1. Financial advice;

  2. Investment advice;

  3. Trading recommendations or signals;

  4. Portfolio management or asset allocation guidance;

  5. Tax advice or tax planning;

  6. Legal advice;

  7. Accounting advice;

  8. A personal recommendation to enter into any LTO Contract, select any digital asset, choose any contract parameter, initiate any Buyout, opt into staking, or take any other action on the Platform;

  9. A solicitation or offer to buy, sell, hold, or trade any digital asset, financial instrument, or investment product;

  10. An endorsement or recommendation of any specific digital asset, stablecoin, blockchain protocol, or market strategy.

2. BitLease Does Not Advise

2.1 No Personalized Recommendations

BitLease does not make any assessment, recommendation, or determination regarding the suitability, advisability, or appropriateness of any LTO Contract, digital asset, or action in relation to you. BitLease does not make any assessment, recommendation, or determination regarding your personal financial situation, including your income, savings, debts, and net worth. BitLease does not make any assessment, recommendation, or determination regarding your investment goals, risk tolerance, and time horizon. BitLease does not make any assessment, recommendation, or determination regarding your tax position and the tax consequences of your activities on the Platform. BitLease does not make any assessment, recommendation, or determination regarding your personal and family circumstances, including factors that may impact your financial decisions. BitLease does not make any assessment, recommendation, or determination regarding the suitability, advisability, or appropriateness of any LTO Contract in relation to you.

2.2 Affordability Assessment Is Not Financial Advice

Before BitLease approves an LTO Contract, BitLease makes an affordability assessment. This is a reasonable and responsible lending practice. It is not financial advice. BitLease’s affordability assessment does not make any recommendation to enter into the LTO Contract. BitLease’s affordability assessment does not make any assessment, recommendation, or determination regarding the wisdom, soundness, and viability of the decision to enter into the LTO Contract. BitLease’s affordability assessment does not make any assessment, recommendation, or determination regarding the investment merits and potential returns of the digital asset. BitLease’s affordability assessment is performed to satisfy consumer protection obligations, not as a financial advice service.

You should understand the difference between an affordability assessment and financial advice. An affordability assessment answers the question, “Can you afford these payments?” It does not answer the question, “Should you enter into this contract?” That is a decision you make, and it is a decision you should make in consultation with a financial professional.

2.3 Platform Content Is Not Advice

3. No Fiduciary Relationship

3.1 BitLease’s Role

BitLease is the Direct Counterparty to LTO Contracts. It is a contractual counterparty, not an advisor, fiduciary, trustee, or agent acting in your interest. BitLease’s interests as counterparty may differ from your interests as Client. This is a structural reality of the LTO model, and it is disclosed here and in the Terms of Service so that the relationship is understood clearly from the outset.

3.2 No Fiduciary Duties

BitLease does not owe you fiduciary duties of loyalty, care, or prudence in connection with your decision to enter into an LTO Contract, your selection of a digital asset, your choice of Down Payment amount or contract duration, your decision to initiate or not initiate a Buyout, your decision to opt into or out of staking, the timing of any Full Settlement, or any other decision you make on the Platform.

3.3 Arm’s Length Transaction

Every LTO Contract is an arm’s length transaction between BitLease and the Client. Both parties act in their own interest. BitLease’s provision of information, tools, and disclosures does not create an advisory, fiduciary, or trust relationship.

4. Independent Professional Advice

4.1 Recommendation

BitLease strongly recommends that you seek independent professional advice before entering into any LTO Contract, making a selection of a digital asset in connection with LTO, determining the amount of Down Payment or installment payments, deciding whether or not to enter into a Buyout or Full Settlement, deciding whether or not to opt in with LTO Staking Delegation, or making any other significant financial decisions through the Platform.

This is not a trivial recommendation. LTO is a long-term financial commitment with risks of digital asset price volatility and the risk of forfeiting all payments made. You must seek independent professional advice in order to determine if LTO is appropriate in your individual circumstances.

4.3 Proceeding Without Advice

However, if you decide to make use of the Platform without independent professional advice, it is your responsibility and decision. In making use of the Platform, you agree and declare that you are making use of the Platform based on your own judgment and decision and that you are not and will not rely on any information or advice from BitLease, its employees, or any other content on the Platform as a substitute for independent professional advice and that you have been informed of the recommendation to make use of independent professional advice.

5. No Guarantees

5.1 What BitLease Does Not Guarantee

BitLease does not guarantee, represent, or warrant that: the future price, performance, or value of any digital asset will be maintained or increase; any LTO Contract will be profitable, or any capital will be maintained or increase; the value of your Economic Utility will increase or be maintained; any staking rewards will be earned or maintained at any level; the reference prices on the Platform will reflect the relevant market prices; the LTO model is appropriate or suitable for any individual; any information regarding market data, pricing information, or analytics provided on the Platform is accurate, complete, or timely; or any examples, simulations, or scenarios presented in relation to any of the personas provided on the Platform reflect any likely or achievable outcome.

5.2 Past Performance

Any information regarding past performance presented on the Platform, including past digital asset price information, past information regarding staking yields, and past HyperHedge™ simulations, is for information only and does not indicate or guarantee any future results.

5.3 Forward-Looking Statements

Any forward-looking statements on the Platform (including projected yields, planned features, licensing timelines, and Chainlink integration plans) are based on current expectations and are subject to risks, uncertainties, and changes. Actual results may differ materially.

6. User Responsibility

6.1 Your Decisions

All decisions made on the Platform are made by you, at your sole discretion, and at your own risk. This includes the decision to register and use the Platform, the selection of a digital asset for an LTO Contract, the choice of Down Payment percentage and contract duration, the decision to make or not make installment payments, the decision to initiate a Buyout, Full Settlement, or allow a contract to continue, the decision to opt into or out of LTO Staking Delegation, the decision to fund or withdraw from your LTO Wallet, and any other action taken on the Platform.

6.2 Risk Acceptance

By using the Platform, you acknowledge that you have read and understood the Risk Disclosure Statement, and you accept the risks described therein. These include, but are not limited to, digital asset price volatility, Platform Reference Price differences, Buyout deficit risk, termination risk, staking risks, counterparty risk, regulatory risk, and stablecoin risk.

6.3 No Reliance on BitLease

You confirm that in making any decision on the Platform, you have not relied on, and will not claim reliance on, any statement, representation, communication, content, or conduct of BitLease, its employees, agents, or affiliates as constituting financial, investment, legal, or tax advice.

7. Regulatory Context

7.1 BitLease Is Not a Regulated Advisor

BitLease is not registered, licensed, or authorized as a financial advisor, investment advisor, investment manager, broker, or dealer in any jurisdiction. BitLease does not hold any license that would permit it to provide personalized financial or investment advice.

7.2 No Suitability Obligation

BitLease does not perform suitability assessments as defined under investment services regulation (such as MiFID II suitability requirements, FCA COBS suitability obligations, or MAS suitability standards). The affordability assessment conducted by BitLease is a consumer protection measure, not an investment suitability assessment.

7.3 Regulatory Disclaimer

Nothing on the Platform constitutes a regulated financial service unless explicitly stated in connection with a specific jurisdiction where BitLease has obtained the relevant license and the specific license is cited. The regulatory status of BitLease’s services is described in the Regulatory Status document.

8. Scope of This Disclaimer

8.1 Applies To

This Disclaimer applies to all content on the Platform (website, mobile app, dashboard, tools, calculators), all communications from BitLease (emails, notifications, customer support, social media), all marketing materials, blog posts, articles, and educational content, all third-party content republished or linked from the Platform, and all verbal and written communications by BitLease employees and agents.

8.2 Survives

This Disclaimer survives termination of your account, completion or termination of any LTO Contract, and cessation of your use of the Platform.
