1. Commitment to Transparency

BitLease is committed to complete fee transparency. All fees applicable to LTO Contracts and Platform services are disclosed in this Fee Schedule, in the Contract Summary (Schedule A) provided before each LTO Contract execution, and in the Terms of Service.

BitLease does not charge hidden fees. No fee will be assessed unless it is explicitly outlined in this Schedule or your individual Contract Summary will be assessed to your account or contract. If BitLease introduces a new fee category, it will be added to this Schedule with at least thirty (30) days' prior notice and will not apply retroactively to active contracts without the Client's explicit consent.

You should never encounter a charge you were not told about before you committed to it. That principle governs every fee described in this document.

All fees are payable in stablecoins or LTO Token (the official utility token of the BitLease Platform), through the Client's Funding Wallet or LTO Wallet.

2. Client (Lessee) Fee Schedule

2.1 LTO Contract Fees

These are the fees that apply directly to your LTO Contract. Each one is disclosed in your Contract Summary before you execute the contract, so you see the full cost picture before you commit.

2.2 Finance Fee Rate Table

The Finance Fee is an effective monthly rate, tiered by contract duration. The longer the lease term, the lower the effective monthly rate applied to the Financed Amount.

2.3 Down Payment Parameters

The Down Payment is the Client's initial contribution toward the Contract Asset Value, paid at execution. The remainder constitutes the Financed Amount.

2.5 LTO Token Fee Discount (VIP Program)

Clients who pay fees using LTO Token (the official utility token of the BitLease Platform) are eligible for fee discounts through the BitLease VIP Program. Discount rates are tiered by VIP level and are defined in full in the VIP Program documentation.

2.6 LTO Staking Delegation Fees

3.2 HyperHedge Dedicated Access Fee

HyperHedge operates on the BitLease Platform in a dual capacity — as an Institutional Lessor and as the Platform's designated risk coverage and insurance layer. In recognition of this dedicated infrastructure role, HyperHedge is subject to a separate access fee structure distinct from general Institutional Lessors.

3.4 Lessor Fee Negotiation

Lessor fees are individually negotiated based on capital deployment volume, contract duration and structure, service level requirements, reporting and integration complexity, and jurisdiction-specific compliance requirements. Lessor fee terms are documented in each Lessor Investment Agreement and are not publicly disclosed.

5. Total Obligation & Cost Disclosure

5.1 Total Obligation Defined

The Client's Total Obligation is the aggregate outstanding amount owed to BitLease under an active LTO Contract at any given point in time:

The Total Obligation decreases with each installment payment and reaches zero upon Full Settlement. It is the sole financial commitment of the Client under the LTO Contract. For a full definition of the Asset Commitment structure, refer to the BitLease Asset Commitment Framework.

5.2 Platform Reference Price

The Platform Reference Price is the price at which BitLease executes asset acquisition, valuation, and liquidation on behalf of the Client. It is calculated as:

Live Market Price is sourced in real time from leading market data providers, including TradingView, CoinMarketCap, and Binance. The Execution Spread (0.5% – 1.5%) reflects real-market liquidation costs and is disclosed in the Contract Summary at execution.

5.3 Exit Valuation Settlement (EVS)

The Exit Valuation Settlement is the mechanism by which a Client's LTO Contract is settled upon Buyout execution or contract termination. Under EVS:

  • The Committed Asset is valued at the Platform Reference Price at the time of settlement
  • The Client's full economic interest in the asset is recognized — regardless of how much of the Total Obligation has been paid, the entire current market value of the asset belongs to the Client
  • The Total Obligation (plus any accumulated penalties, if applicable) is settled from the asset's value
  • Any Surplus Value (asset value minus Total Obligation and fees) is returned to the Client's Funding Wallet
  • If asset value is less than Total Obligation, the shortfall is covered by HyperHedge — the Client bears no negative balance

Example: A Client acquires 1 BTC at $60,000 with a 15% Down Payment ($9,000). After paying only the Down Payment, the Total Obligation stands at approximately $54,000 (Financed Amount + fees). If the Client exercises Buyout when BTC is at $120,000, the full $120,000 value is recognized, the $54,000 Obligation is settled, and the Client receives the $66,000 Surplus. The appreciation on the entire asset — not just the paid portion — accrues to the Client.

5.4 Per-Contract Disclosure

Every LTO Contract is accompanied by a standardized Total Cost Disclosure in the Contract Summary (Schedule A), containing:

  • Total Obligation at Inception: Full breakdown of Financed Amount, Finance Fee, and Insurance Fee
  • Installment Schedule: Monthly amounts and due dates
  • Effective Monthly Rate: Blended rate reflecting Finance Fee tiered by contract duration
  • Fee Itemization: Each fee is listed individually with its amount
  • Worst-Case Illustration: Maximum loss scenario (all payments made, asset value drops to zero, EVS returns nothing)
  • Penalty Illustration: Example showing how the 10% daily late payment penalty accrues and when the termination threshold is reached

6. Late Payment Penalty: Detailed Mechanics

6.1 Structure

6.2 Termination Condition

The termination threshold is triggered when the sum of all overdue installments plus all accumulated penalties equals or exceeds the value of 2 full installments. BitLease sends reminders throughout the overdue period. The Client retains the right to cure at any point before termination is executed.

6.3 Cure Mechanism

The Client may cure the default at any point before termination is finalized by paying all overdue installment(s) plus all accumulated penalties. Upon cure, the contract resumes normally.

Partial cure is available. If a Client reduces the accumulated penalty balance below the termination threshold, the termination clock resets, buying additional time. This mechanism ensures the Client always has a path to preserve their contract as long as termination has not been executed.

6.4 Worked Example

Assumes a monthly installment of $2,100. Penalty = 10% of $2,100 = $210/day.

6.5 Termination Settlement & Client Protection

Upon contract termination, an Exit Valuation Settlement (EVS) is executed.

7. Fee Changes

7.1 Existing Contracts:

Fees in your Contract Summary at execution are fixed for the duration of that contract. BitLease cannot unilaterally change them.

7.2 New Contracts:

BitLease may update the Fee Schedule for new contracts at any time. You always see applicable fees before committing.

7.3 Platform-Wide Fee Changes:

Changes to fees not tied to a specific contract (e.g., Funding Wallet withdrawal fees, Staking Brokerage Commission, LTO Token utility mechanisms, or applicable conversion terms) are communicated at least thirty (30) days before taking effect. They do not apply retroactively and do not affect rewards already earned but not yet distributed.

7.4 Finance Fee Rate Changes:

The Finance Fee rate is variable and subject to adjustment based on capital market conditions. Rate changes apply to new contracts only and are communicated with at least thirty (30) days' notice.

8. Tax Considerations

8.1 Gross Amounts

All fees in this Schedule are stated as gross amounts. BitLease does not add VAT, sales tax, or other transaction taxes to fees unless required by applicable law in a specific jurisdiction. If tax is required to be added, it will be disclosed separately.

8.2 User Responsibility

You are solely responsible for all tax obligations arising from your use of the Platform, including:

  • Income tax on staking rewards received through LTO Staking Delegation
  • Capital gains tax on Buyout proceeds or Surplus Value received upon Exit Valuation Settlement
  • Any tax obligations arising from the use, holding, conversion, or disposal of LTO Token
  • Any other applicable taxes in your jurisdiction

The tax treatment of the Insurance Fee — including whether it may be deductible as a cost of acquisition or financing — varies by jurisdiction and individual circumstances. BitLease does not provide tax advice. Consult a qualified tax advisor.

BitLease does not withhold taxes on behalf of Clients unless required to do so by applicable law.

9. Force Majeure & Network Events

BitLease shall not be liable for delays or failures in performance resulting from events outside its reasonable control, including but not limited to: blockchain network outages, validator failures, smart contract disruptions, exchange downtime, regulatory actions, or other force majeure events.

In the event of a network outage or platform disruption that prevents a Client from making an installment payment on its due date, BitLease will suspend late payment penalty accrual for the duration of the verified disruption. The Client must notify BitLease promptly. BitLease reserves the right to verify the nature and duration of any claimed disruption.

10. Governing Law & Jurisdiction

This Fee Schedule is governed by the laws of the Abu Dhabi Global Market (ADGM), Abu Dhabi, United Arab Emirates. Any disputes arising from or in connection with this Fee Schedule shall be subject to the exclusive jurisdiction of the ADGM Courts.

BitLease Technologies Ltd. is incorporated and regulated under the laws of ADGM, Registration No.: 34619.

11. Regulatory Disclosure

BitLease Technologies Ltd. operates within the Abu Dhabi Global Market (ADGM) regulatory framework. Clients are advised that:

  • Digital asset activities may be subject to regulatory oversight in their jurisdiction of residence
  • BitLease does not provide investment, financial, or tax advice
  • LTO Contracts involve digital assets whose value may be highly volatile
  • Past performance of any digital asset is not indicative of future results
  • Clients should seek independent legal, financial, and tax advice before entering into any LTO Contract

12. Glossary
